About this role
Company: “VLand Systems” LLC (former “STP Metal Structures” LLC)
Key Responsibilities:
- Develop the legal strategy in line with the Company's business objectives and ensure the implementation of measures to maintain legal compliance and mitigate legal risks.
- Lead the development, revision, and implementation of internal policies and procedures in accordance with the Company's operational requirements.
- Organize and manage the activities of the Legal Department, prepare departmental work plans, and monitor their execution.
- Lead, supervise, and develop the Legal Department team by allocating responsibilities, managing day-to-day operations, and evaluating employee performance.
- Continuously monitor legislative and regulatory changes, assess their impact on the Company's operations, and ensure their timely implementation.
- Identify, assess, and manage legal risks across the Company, maintain and update the legal risk register, and ensure proactive legal analysis of new projects, investments, and corporate changes.
- Define the Company's litigation and dispute resolution strategy, oversee court proceedings, ensure the quality of procedural documents, and coordinate enforcement actions, including legal measures related to debt recovery.
- Oversee the preparation, legal review, compliance, and implementation of contracts, agreements, and other legal documentation within Joint Venture (JV) projects.
- Lead the contract management process by ensuring that all contracts comply with applicable legislation, managing contract templates and standards, establishing legal positions on high-risk agreements, and supervising legal due diligence of counterparties.
- Ensure the preparation of legal opinions on high-risk contracts and provide recommendations to the Company's management.
- Establish contract quality standards, oversee the development of contract templates, and approve standardized legal documentation.
- Ensure timely and high-quality responses to legal inquiries from internal departments, prepare legal opinions and strategic recommendations for management, and participate in the decision-making process.
- Prepare legal opinions, memoranda, and advisory reports for the Company's management on various legal matters arising from business operations.
- Supervise document management, reporting processes, and the implementation of internal standards and procedures within the Legal Department, and provide regular reports to senior management.
- Establish and maintain effective working relationships with governmental authorities and regulatory bodies.
- Ensure effective coordination with business partners and external stakeholders, organize collaboration, and strengthen professional relationships.
- Manage legal communications and contractual relationships with international partners.
- Conduct legal risk assessments related to new projects, investment initiatives, business models, and corporate restructuring activities.
- Perform other legal duties and responsibilities assigned by the Company's management.
Requirements:
- Bachelor's degree in Law (a Master's degree is an advantage).
- Minimum of 5 years of experience in Corporate Law; experience in the manufacturing industry is preferred.
- Strong knowledge of the Code of Administrative Offences, Administrative Procedure Code, Civil Code, Criminal Code, Civil Procedure Code, Labour Code, and other legislation related to Corporate Law.
- Excellent command of Microsoft Word and Outlook; good knowledge of Microsoft Excel; proficiency in other Microsoft Office applications is an advantage.
- Language skills: Fluent in Azerbaijani and English (both written and spoken); good command of Russian.
Working Conditions:
- 5-day working schedule.
- Work location: Sumgayit, Azerbaijan.
