Lead Lawyer

Project: Sea Breeze Health Valley (SBHV)

Location: Nardaran, Azerbaijan

Sea Breeze Resort is looking for a Lead Lawyer to join the Sea Breeze Health Valley (SBHV) project — a unique and ambitious development shaping the future of health, wellness, and lifestyle in the region.

We are seeking an experienced and proactive legal professional who can provide comprehensive legal support across corporate, commercial, regulatory, investment, healthcare, land, and construction matters. The successful candidate will play a key role in supporting the development of the Medical Cluster and Special Economic Zone (SEZ) initiatives, ensuring legal compliance, mitigating risks, and contributing to the successful implementation of strategic projects and partnerships.

Key Responsibilities

• Draft, review, negotiate, and manage a broad range of agreements, including service agreements, consultancy agreements, NDAs, franchise agreements, framework agreements, shareholder agreements, public-private partnerships (PPPs), and other legal documents.
• Draft Memoranda of Understanding (MOUs), Letters of Intent (LOIs), term sheets, and related documentation.
• Provide legal advice on corporate, commercial, regulatory, investment, land, and construction matters.
• Support the development of legal and regulatory frameworks for the Medical Cluster and Special Economic Zone (SEZ) initiatives, including resident agreements, SEZ licensing, regulatory compliance, and engagement with SEZ governing authorities.
• Advise on land acquisition, land use rights, lease and sublease arrangements.
• Provide legal support on construction and development projects, including contractor and subcontractor arrangements, and construction-related dispute matters.
• Support healthcare licensing and regulatory compliance matters, including coordination with the Ministry of Health and relevant regulatory authorities regarding medical facility licensing, accreditation, and operational permits.
• Advise on migration law matters, including work permit and residence permit requirements for international staff, medical professionals, and foreign investors operating within the cluster.
• Participate in the preparation and review of corporate documentation, shareholder resolutions, board materials, and governance documents.
• Conduct legal research and prepare legal memoranda, legal opinions, and regulatory analyses.
• Support negotiations with investors, operators, residents, governmental authorities, and strategic partners.
• Assist in the development of internal policies, procedures, and governance frameworks.
• Monitor legislative developments and assess their impact on SBHV’s operations and strategic projects.
• Coordinate with external counsel, consultants, government authorities, and project stakeholders.
• Participate in due diligence exercises, corporate structuring projects, and investment transactions.
• Support regulatory engagement initiatives and legal aspects of public-private cooperation projects.

Qualifications & Competencies

• Bachelor’s degree in Law (LL.B.).
• Master’s degree in Law (LL.M.) from an internationally recognized foreign university is strongly preferred.
• Minimum 3 years of relevant legal experience, preferably in a reputable law firm, international organization, investment project, technopark, special economic zone, healthcare, infrastructure, or development project.
• Excellent legal drafting and contract negotiation skills.
• Strong analytical and problem-solving abilities.
• Ability to work independently and manage multiple projects simultaneously.
• Strong stakeholder management and communication skills.
• Ability to prepare clear legal opinions, reports, presentations, and briefing materials.
• High attention to detail and strong organizational skills.

Language Requirements

• Fluent Azerbaijani (written and spoken).
• Fluent English (written and spoken).
• Fluent Russian (written and spoken).
